Mergers & Acquisitions


Our Mergers and Acquisition Department represents business owners and entrepreneurs, large and small, in their quest to sell or acquire operating businesses, including the implementation of business succession planning for business owners. Our firm has successfully completed in excess of 350 mergers and acquisitions in the last 10 years, with sales ranging from $1M to $150M. Our work in representing sellers many times includes the formation and implementation of succession plans to family or internal management groups as well as to third party buyers. We represent many of our business planning clients as they acquire new business locations or as they navigate financing and private equity recaps and retain a portion of their company for future growth.

Creating the Succession Plan

Your succession plan may consist of any one or a combination of the following:

Integrated Exemption Planning


Exemption Planning Process


Exemption Planning is the process of developing strategies to organize ones assets and financial affairs in a way that maximizes the capture and use of available state and federal creditor exemption statutes in order to protect those assets from future money judgements in either a bankruptcy or non-bankruptcy setting. The conversion of otherwise exposed nonexempt assets into protected exempt assets is part of the exemption planning process. Traditional examples of funding and therefore utilizing these exemptions include, but are not limited to, when an individual:


  • Creates and funds ERISA retirement plans under Federal law;

  • Properly creates and funds a Private Retirement Trust (PRT) under California law;

  • Creates and funds an Individual Retirement Account (*IRA);

  • Maximizes use of the Homestead Exemption and Consensual Liens for a principal residence; and

  • Repays 401(k) loans.


*IRA accounts are only exempt up to the “necessity for support” standard in California. However, IRAs are exempt up to a total dollar value of $1,362,800 in Bankruptcy (until April 1, 2022).


Integrated Exemption Planning using the PRT


Developing strategies for Exemption Planning clients using the PRT involves integrating other practice areas in order to maximize the overall identified goals and objectives for the client and or the client’s estate. This includes:

  • Integrating Retirement Planning strategies with Exemption Planning, including the creation and implementation of a PRT to re-characterize otherwise identified nonexempt assets as exempt future retirement assets.

  • Integrating Advanced Estate Planning strategies with Exemption Planning, including the use of IDGTs and other irrevocable trust structures.

  • Integrating Tax Planning strategies with Exemption Planning in order to minimize/mitigate income and estate tax exposure for the client.

  • Integrating proper Business Planning with Exemption Planning in order to maximize protection benefits for the client and/or client’s income producing business assets. 

  • Integrate Charitable Planning strategies with Exemption Planning to promote a client’s philanthropic goals and maximize tax benefits for the client and/or client’s estate.
