Brian T. Stephens is a corporate attorney and a member of the business planning department with Brown and Streza, LLP. From early stage to exit, Brian counsels his clients on a variety of business transactions including stock and asset acquisitions, mergers and company reorganizations, real estate transactions, investment and loan transactions, and joint ventures. Brian advises companies and the people who run them and is known for his practical approach.

Additionally, Brian acts as outside general counsel to privately held companies. In this role, Brian advises on legal strategy and reports to corporate officers, boards of directors, and company management and has implemented a variety of company initiatives including shareholders agreements and succession planning, equity transfers, incentive compensation planning, corporate maintenance and compliance, governance policies, the negotiation of significant commercial contracts (including license and SaaS agreements, distribution/manufacturing agreements, master service agreements, and executive employment agreements) and also advises in connection with risk mitigation and resolution of partner and shareholder disputes.

Brian’s experience covers a broad range of industries, including consumer goods and retailers, distributors, manufacturers, technology and media companies, contractors and engineers, and healthcare providers. Brian advises and coordinates efforts which are instrumental in providing his clients with the benefits incident to comprehensive estate and tax planning. He believes that each client’s objectives are best achieved by taking a team approach with each client’s advisors, and regularly works with accountants, investment bankers, brokers, appraisers, and financial advisors to ensure that client objectives are accomplished in a coordinated manner.
