Greg Cragg is an associate attorney with the Orange County law firm of Brown & Streza, LLP and is a member of the Business Planning Department. Greg earned his Juris Doctorate from Loyola Law School in 2011, and received his undergraduate education at the University of California, Los Angeles. He assists the Business Planning Department with a variety of legal projects. From 2014-2017 Greg was selected for inclusion on the Southern California Super Lawyers “Southern California Rising Stars” lists by the publishers of Los Angeles magazine and Law & Politics magazine.

While in law school, Greg worked full time at a law firm as a law clerk while staying active on campus. He was a senior production editor and staff writer for the Loyola of Los Angeles International and Comparative Law Review. He competed in the LAWASIA International Moot held in Ho Chi Minh City, Vietnam in a mock arbitration involving international, contract, intellectual property, and admiralty law. He also served as the treasurer and a team leader for the Judge Stephen O’Neill Trial Advocacy Mentoring Program, also known as the Young Lawyers Program, which teaches at-risk inner-city high school students about trial advocacy. He also volunteered as a certified law clerk at the Los Angeles County District Attorney’s Office, where he conducted 25 preliminary hearings.

Prior to law school, Greg taught English at a high school in Japan with the JET Program and was a legal assistant at a corporate real estate law firm.

Business Planning

  • Private equity and debt security offerings: draft and review seed stage and Series A financing private placement memoranda, subscription agreements, cap tables, and risk factors for investors and start-up/emerging growth companies; file Form D and blue sky filings; and structure founder and talent compensation and equity packages.
  • Form and fund legal entities, including general and limited partnerships, C- and S-corporations, and LLCs, in multiple jurisdictions, draft formation documents
  • Draft documents for all phases of a business life cycle, including annual minutes, corporate compliance and employee compensation
  • Business succession planning: draft buy/sell agreements, business restructuring, unit/stock/partnership interest sale agreements, mergers and purchase/sales from/to third parties or current owners
  • Mergers and acquisitions: purchase/sale of businesses, real property, personal property and intellectual property and commercial leases
  • Internet and technology agreements: draft and advise on inter-company agreements between app developers, service providers, and vendors; licensing agreements; joint venture agreements; master service agreements; and terms of use and privacy policies.
  • Real estate: transferring properties, addressing title issues and drafting/negotiating ground leases
  • Tax planning: consulting and drafting documents for choice of legal entity, structure of business purchase/sale, structure of employee compensation and dealing with property and sales tax issues
